Moon Program Enrollment Terms & Conditions
This Moon Program Enrollment Agreement (the “Enrollment Agreement” & “Agreement”) is entered into by Moon, a brand created and managed by Moon Tech Ltd. a company incorporated as a Private Company under Dubai International Financial Centre “DIFC” Law No. 5 of 2018, and its mobile application/website (“us” or “we” or “Moon Program”), and you, the party submitting an application to join as a Content Creator (“you” or “Content Creator”). The terms of this Agreement apply to your participation in the Moon Program, and use of the Application/Website found at moontech.ae Each Offer within the Moon Program may be from us or a third-party Client and may have supplementary terms detailed on pages within the Moon Program, which are considered part of this Agreement.
Enrollment
Upon your enrollment in the Moon Program, we will provide you with coupon codes (the “Coupons”) that you may display on your social media platforms such as Instagram, Snapchat, TikTok, Facebook, and others under your control as Advertisement (“Ads”). These Coupons, unique to each Content Creator for every brand they select, will contain offers such as discounts or GWP (Gift With Purchase). The audience of the Content Creator can use these Coupons for availing the offers when purchasing from the respective Client’s website or app. Submitting an application to enroll at the Moon Program does not guarantee acceptance and will be subject to approval. Content Creator must be at least 18 years old.
Content Creators Obligations
Abide by any and all instructions provided by the Moon Program regarding Coupons conditions, Clients, Ads, restrictions, and any other instructions.
Must have all the necessary licenses under the applicable law.
Must follow the Ads Schedule set by the Moon Program.
Commission Structure
The commission rates for each Client will be displayed on the Moon Program app. These rates are subject to change at our discretion, with or without prior notice. Any changes to the commission rates will be immediately reflected within the app.
Performance Reports
Content Creator can monitor their performance through a dedicated dashboard within the Moon Program app. The Coupons serve as the tracking mechanism, helping us ascertain the number of orders and revenue generated from each Coupon. After the conclusion of each month, we will update the dashboard with Validated Net Orders and apply the cancellation rates within 30 days, based on the validated orders we receive from our Clients.
Payment Terms
You will earn Commissions for each Validated Net Order that is generated through the use of your Coupons. A “Validated Net Order” refers to an order placed by an individual on a Client’s website or app using the specific Coupon assigned to you. The Commission will be contingent upon the order not being identified as fraudulent, incomplete, returned, unqualified, or canceled by either the Moon Program or the Client.
Moon Program pays and transfers for verified orders only, and in order to transfer the payouts monthly we apply cancellation rates each month.
Payments will be made on the 15th of each month for the previous month’s Validated Net Orders, dependent on the validated orders being confirmed and submitted by the Client to us and may differ from one Client to another. The method of payment will be mutually agreed upon.
Intellectual Property Rights
Each party retains all right, title, and interest in and to its own pre-existing intellectual property irrespective of any disclosure to the other party, before or after the date of this Agreement. Nothing in this Agreement shall be construed to transfer ownership of or grant any licensing rights to the other party’s intellectual property unless explicitly stated in a separate written agreement.
Termination
This Agreement can be terminated by either party by giving a written notice of 60 days. The Moon Program has the right to terminate effective immediately in the event of a breach committed by the Content Creator(s) for any of the terms under this Agreement, and whereas the Content Creator did not generate more than 5 orders in any given month.
Non-Circumvention
Content Creator hereby agrees not to solicit or enter into a similar agreement with any of Moon Program’s Clients without the express written consent of Moon Program during the term of this Agreement and for a period of 12 months following its termination. If such circumvention occurs, Moon Program shall be entitled to any amounts due pursuant to this Agreement.
Confidentiality & Indemnity
Both parties agree to maintain the confidentiality of all information obtained during the course of this Agreement, not disclosing or allowing disclosure to any third party without prior written consent. You agree to indemnify and hold us harmless against any claims, damages, or liabilities arising out of your breach of this Agreement or any unlawful actions undertaken by you.
Compliance and No Liability
You affirm that you possess all necessary licenses and permissions to lawfully engage in the activities under this Agreement. We are not responsible for any unlawful acts committed by you and we assume no liability for any actions, claims, loss of revenue, or disputes arising from your participation in the Moon Program.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Dubai International Financial Centre (DIFC). Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the DIFC Courts
Submission
By submitting your application to enroll into the Moon Program you agree to be bound by these Enrollment terms and conditions above & our Privacy Policy. These terms and conditions are subject to change at any time at the sole discretion of the Moon Program.
